Business Registration Renewal in Hong Kong

The Business Registration Certificate (BR) is the identity document of every business operating in Hong Kong. What many owners do not realise is that it is not a one-off application — it must be renewed, and letting it lapse brings penalties, prosecution risk, and problems with banks, tax filing and funding applications.

What the BR is

  • A statutory requirement. Anyone carrying on business in Hong Kong for profit — physical shop or online store — must register.
  • Your company's ID. It proves the business is lawfully registered and underpins bank account opening, contracts and tax filing.
  • Time-limited. Certificates are issued for one year or three years and must be renewed on expiry.
  • Universal. Limited companies, sole proprietorships and partnerships all need one.

Fees from 1 April 2026

The business registration fee waiver has ended. From 1 April 2026 the standard annual charge applies in full.

The published rate includes the levy to the Protection of Wages on Insolvency Fund. Confirm the current figure on the Inland Revenue Department website before paying.

Deadline and how to renew

The IRD issues a renewal demand note about one month before expiry, addressed to the registered business address. Payment is due by the date shown on the demand note. You can pay online, by phone, at a post office, by bank ATM, or in person at the Business Registration Office.

If the demand note does not arrive, the obligation does not go away. That is the single most common reason renewals are missed — the registered address is out of date. Keep it current.

If you are late

  • A penalty becomes payable in addition to the registration fee
  • Continued failure can lead to prosecution and a court fine
  • Banks may freeze or decline account operations without a valid BR
  • Funding and licence applications will typically be rejected
  • An expired BR does not remove the duty to file tax returns

Treat renewal as an annual health check

Most owners treat the renewal as an annoying invoice. It is more useful as a prompt: once a year, while you have the file open, check that

  • the registered address and contact details are current;
  • the nature of business still matches what you actually do;
  • your annual return (NAR1) has been filed on time;
  • the statutory audit and profits tax return for the last financial year are done;
  • any change of directors or shareholders has been filed with the Companies Registry.

Doing this turns a payment into a compliance review — and catches the problems that otherwise surface eighteen months later.

Changes you must report

Within one month of the event, notify the Business Registration Office of a change in business name, address, nature of business, or cessation of business. Cessation must be reported within one month, otherwise registration fees keep accruing.
