How incorporation works

A Hong Kong private company limited by shares needs at least one director (a natural person, any nationality), at least one shareholder, a company secretary who ordinarily resides in Hong Kong, and a Hong Kong registered office. Electronic incorporation is usually approved within one to two working days.

Bookkeeping

Section 373 of the Companies Ordinance requires accounting records to be kept for seven years; section 380 requires financial statements that give a true and fair view. Statutory audit

Every Hong Kong limited company must appoint an auditor for each financial year (s.394) and have its financial statements audited (s.405) — including companies that did not trade. Audits start at HK$2,000 for a dormant company. See audit arrangement.

Profits tax

Hong Kong taxes only profits arising in or derived from Hong Kong. Corporations pay 8.25% on the first HK$2 million of assessable profits and 16.5% on the balance; unincorporated businesses pay 7.5% and 15%. Estimate yours with the profits tax calculator, or see profits tax filing.
